These Terms of Service ("Terms") form a binding agreement between bizzform LLC ("bizzform", "we", "us", or "our") and you ("Customer", "you", or "your"). By accessing or using bizzform.com (the "Site"), our company-formation services, or any bizzform software product (including Q70 Translator) (collectively the "Services"), you agree to be bound by these Terms.
If you are entering into these Terms on behalf of an organisation, you represent that you have the authority to bind that organisation.
If you do not agree to these Terms, do not use the Services.

You may use the Services only if you (a) are at least 18 years old, (b) have the legal capacity to enter into a contract under the laws of your jurisdiction, and (c) are not barred from using the Services under applicable law (including export-control and sanctions law).
bizzform offers company-formation and related compliance services, including incorporation in US states and other jurisdictions, EIN acquisition, registered-agent service, banking introductions, and ongoing compliance support. Specific deliverables are set out in the engagement letter or order form applicable to you.
bizzform develops and licenses software products, including Q70 Translator — a cloud-based and/or self-installable computer-assisted translation (CAT) platform. Specific features and limitations depend on the subscription plan, edition, and configuration applicable to you.
You must provide accurate, current, and complete information when registering for the Services, keep that information up to date, and be responsible for everything that happens under your account.
You are responsible for safeguarding your login credentials and for any activity under your account. Enable two-factor authentication (2FA) where offered. Notify us immediately at security@bizzform.com of any suspected unauthorised access.
If you are an organisation, you may designate administrators who can manage users, settings, integrations, and access to data. You are responsible for the actions of your administrators and the users they invite.
Use of the Services requires payment of the applicable fees set out in your order form, online sign-up page, or invoice. Fees are exclusive of applicable taxes. Payments are non-refundable except as expressly stated or required by applicable law. Subscriptions automatically renew at the end of each billing period at the then-current price unless cancelled. We may suspend or terminate access for non-payment after reasonable notice.
Company-formation services are subject to additional terms set out in your engagement letter. You acknowledge:
You agree NOT to use the Services to:
You own the content you upload to or generate within the Services ("Customer Data"). We claim no ownership of Customer Data.
You grant bizzform a worldwide, non-exclusive, royalty-free licence to host, store, process, transmit, display, and otherwise use Customer Data solely to provide, secure, and improve the Services for you and as instructed by you.
We make regular backups, but you are responsible for maintaining your own copies of critical data. Q70 provides export functionality (XLIFF, TMX, JSON, ZIP) which you may use at any time.
You represent and warrant that (a) you have all rights necessary to upload and process Customer Data through the Services, and (b) your use of the Services complies with applicable laws.
The Services, the Site, and all related software, documentation, content (other than Customer Data), trade marks, logos, and designs are owned by bizzform or its licensors. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to use the Services for their intended purpose during your subscription term.
If you send us suggestions, ideas, bug reports, or other feedback, you grant us a perpetual, irrevocable, worldwide, royalty-free licence to use, modify, and incorporate that Feedback into our products without restriction or compensation.
The Services integrate with third-party services chosen by you or your workspace administrator (e.g., AI providers, email providers, payment processors). Your use of those services is governed by their own terms and privacy policies. We are not responsible for third-party services or their handling of your data.
Each party may receive non-public information of the other party ("Confidential Information"). The receiving party will (a) use Confidential Information only to perform under these Terms, (b) protect it with at least the same degree of care it uses for its own confidential information (and no less than reasonable care), and (c) not disclose it except as expressly permitted. These obligations survive termination for three (3) years, except for trade secrets which are protected for as long as they remain trade secrets.
Our processing of personal data is described in our Privacy Policy. Where bizzform processes personal data on your behalf, a Data Processing Agreement may apply.
We will use commercially reasonable efforts to keep the Services available. We do not currently offer a contractual uptime SLA except as separately agreed in writing for enterprise customers. We may modify, suspend, or discontinue any part of the Services at any time, with reasonable advance notice to active paying customers where the change is material.
To the maximum extent permitted by law, the Services and the Site are provided "as is" and "as available", without warranties of any kind. bizzform specifically disclaims all warranties of merchantability, fitness for a particular purpose, non-infringement, title, accuracy, completeness, and uninterrupted or error-free operation.
Translations produced or assisted by Q70 (including AI- and machine-translation output) are provided for your convenience. You are solely responsible for reviewing them for accuracy, completeness, and fitness for purpose before relying on them.
Company-formation services are provided as an administrative and filing service. We do not provide legal, tax, or accounting advice.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.
You agree to defend, indemnify, and hold bizzform harmless from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your use of the Services, (b) your Customer Data, (c) your violation of these Terms, or (d) your violation of any law or third-party right.
These Terms apply from when you first access the Site or Services and continue until terminated.
You may stop using the Services at any time. Cancellation prevents auto-renewal but does not entitle you to a refund of pre-paid fees except as expressly stated.
We may suspend or terminate your access immediately if you (a) materially breach these Terms, (b) fail to pay fees when due, (c) use the Services in violation of law, or (d) for the convenience of either party on 30 days' written notice for subscriptions.
Upon termination, your right to access the Services ends. We will retain Customer Data for 30 days following termination to allow you to export it, after which we will delete it from active systems (subject to backup retention and legal-hold obligations).
We may update these Terms from time to time. We will update the "Last Updated" date and, for material changes, notify active customers by email or in-product notice at least 30 days before the changes take effect.
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles. The parties consent to the exclusive jurisdiction of the state and federal courts located in New Castle County, Delaware, for any dispute arising out of or relating to these Terms, except that either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property or confidential information.
Nothing in this section limits any mandatory consumer-protection rights you may have under the laws of your country of residence.
Notices to bizzform must be sent to legal@bizzform.com with a copy by mail to the registered office in Section 2. Notices to you will be sent to the email address associated with your account.
